I. Acceptance of terms
The services Upsaid provides to its members are subject to the following Terms of Service ("TOS"). These Terms of Service may be updated without further notice.
By completing the registration process, the member indicates his / her agreement to be bound by Upsaid's TOS. |
II. Description of service
Each registered Upsaid member is provided with the following services: Web Journaling, Personal Online Guestbook, Personal Webpoll, and
Private Messaging with other Upsaid members.
The purpose of our "Web Journaling" service is to allow the user to upload text data (personal thoughts, information concerning the users interrests, website updates,
etc..) to his / her personal page, which can be completely customised by the user.
Upsaid Basic and Upsaid premium can be used for non-comercial use only.

III. Members conduct
All Upsaid members are required to and agree to follow the following a few simple conduct lines, in order to keep our service enjoyable, and safe for everyone.
As a registered Upsaid member, you agree not to:
- upload or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, pornographic, vulgar,
obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
- harm minors in any way;
- forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service;
- upload or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships
(such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
- upload or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or
other proprietary rights ("Rights") of any party;
- upload or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters,"
"pyramid schemes," or any other form of solicitation, except in those areas (such as shopping rooms) that are designated for such purpose;
- upload or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to
interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
- "stalk" or otherwise harass another; or collect or store personal data about other users.
- abuse of the "private messaging" service to harras, or stalk another Upsaid member.
- use the personnal information (IPs, e-mails, website, etc) given any user who signs your guestbook or posts a comments on your entries
for unlawful means.

IV. Account termination
Upsaid reserves the right to remover an account (including entries, comments, templates, and all other data releted to this account) if the user has not posted any
entry withing one month after registration, or after six month of inactivity (no entry posted).
The user will be notifyed by email seven days befor the deletion of his / her account. If an entry is posted within these seven day, the deletion will be
postponed to another six months of inactivity.
We also reserve the right to remove an account which violates this TOS without any further notice to the user. |
V. Usage limitations
In order to retain the stability of Upsaid's system recources, several limitations on the way the user is allowed to use his / her account have been
These limitaitions include:
A maximum of three entries posted in 24 hours. (Upsaid Basic accounts olny)
A maximum of fifty members inserted in the "Buddies list".
Upsaid Premium users are allowed 5 mega bytes of image storage.
Any attempt of going over these limits will result in an instant account termination. |
VI. Copyrights
All content uploaded by an Upsaid user to his / her account remains property of this user. By registering to upsaid, the
user gives Upsaid the authorisation to display this content. In no circumstances Upsaid will claim rights or ownership of content posted or layouts created by the
user, neither will we sell this content to a third party.
Upsaid reserves the right to remove any uploaded content from our server in the eventuality that this
content violates our Terms of Service. |
VII. Disclaimer
This site is provided by Upsaid.com on an "as is" basis; your use of our service is at your own risk.
Upsaid.com makes no representations or warranties of any kind, express or implied, as to the operation of the site, the information, content,
materials or products, included on this site.
To the full extent permissible by applicable law, Upsaid.com disclaims all warranties,
express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.
Upsaid.com will not be liable for any damages of any kind arising from the use of this site, including but not limited to direct, indirect,
incidental punitive and consequential damages.
